Proceedings of the Board of Regents (1999-2000)

November Meeting, 1999 falls under the state of Michigan Conflict of Interest Statute. The following information is provided in compliance with statutory requirements: 1. Parties to the agreement are the Regents of the University of Michigan and the Transplantation Society of Michigan (TSM). 2. Terms of the proposed agreement are acceptable and conform to University policy. The amount of the agreement with the University will be approximately $604,000. The period of performance is three years. Services requested of the University by TSM during the term of Dr. Merion's presidency will be approved by two people, the executive director (who is also principal investigator for the consortium) and TSM's financial director, to determine whether they are within the scope of the agreement and chargeable to TSM. 3. As president of TSM and principal investigator for this project at the University, Dr. Merion will receive partial University salary support under the grant consortium agreement; he will receive no compensation as president of TSM. As a continuing board member, Dr. Merion receives a nominal honorarium for attendance at TSM meetings. Reassignment Agreement with Rui-Feng Wang On a motion by Regent McGowan, seconded by Regent White, the Regents unanimously approved a reassignment agreement with Rui-Feng Wang for the invention, "A Method for Combining Physical Objects Using Polar Coordinate Statistical Analysis." Because Mr. Wang is both a party to the agreement and a University of Michigan employee, this agreement falls under the state of Michigan Conflict of Interest Statute. The following information is provided in compliance with statutory requirements: 1. Parties to the agreement are The University of Michigan and Rui-Feng Wang. 2. Terms of the agreement include reimbursement to the University for all patent expenses and payment to the University of 15% of any royalties, equity, or other value received by Mr. Wang through subsequent marketing and licensing of the invention. The University retains an irrevocable, royalty-free license to use and practice the invention internally. No continuing development of the invention will take place with the use of University funds, facilities, or funds administered by the University, unless appropriate formal University approvals are obtained. 3. Mr. Wang's pecuniary interest arises from his direct management of future commercialization efforts of the invention. Proposed License Agreement between the University of Michigan and MedCharge, Inc. On a motion by Regent Homing, seconded by Regent White, the Regents unanimously approved a license agreement between the University of Michigan and MedCharge, Inc. Because Ronald B. Hirschl and William P. Fleischmann are both University of Michigan employees and part-owners of MedCharge, this agreement falls under the state of Michigan Conflict of Interest Statute. The following information is provided in compliance with statutory requirements: 1. Parties to the agreement are the University of Michigan and MedCharge, Inc. 2. Contract terms include: An exclusive right to use, create derivative works, and to market the programs; The University retains ownership of the licensed programs and may continue to further develop and use them at UM or any of its affiliated medical services sites; A 5% equity position plus royalties that will decline over time from 10% to 1.5%; MedCharge will provide free copies of its product to Michigan; Milestones include closing on investment of $1,000,000 by June 30, 2000; 136
